1. Acceptance of Terms

By accessing and using Bodegaly ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Bodegaly provides a multi-tenant SaaS platform for convenience stores, bodegas, and small shops to manage online ordering, delivery, payments, and multi-channel order aggregation. The Service includes:

  • Online storefront creation and management
  • Order management system
  • Payment processing through Stripe
  • Delivery management tools
  • Multi-channel order aggregation
  • Analytics and reporting
  • Mobile applications
  • API access (on applicable plans)

3. Account Registration

To use the Service, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years old or the age of majority in your jurisdiction

4. Subscription and Billing

4.1 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Paid Subscriptions

Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method for all fees incurred. Subscription fees are non-refundable except as required by law.

4.3 Transaction Fees

Payment processing fees of 2.9% + $0.30 per transaction apply to all credit card payments processed through the Service. These fees are collected by our payment processor, Stripe.

4.4 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code or malware
  • Engage in fraudulent activities
  • Harass, abuse, or harm others
  • Sell illegal products or services
  • Interfere with the Service's operation
  • Attempt to gain unauthorized access to the Service

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the content you upload to the Service (product images, descriptions, etc.). By uploading content, you grant us a license to use, store, and display that content as necessary to provide the Service.

6.2 Our Intellectual Property

The Service, including its software, design, and trademarks, is owned by Bodegaly and protected by copyright, trademark, and other intellectual property laws.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy.

8. Third-Party Services

The Service integrates with third-party services including:

  • Stripe for payment processing
  • Uber Eats, DoorDash, Grubhub for order aggregation
  • Other delivery and logistics providers

Your use of these third-party services is subject to their respective terms and conditions.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability.

10. Termination

10.1 By You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BODEGALY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless Bodegaly from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
